Termination rights
PioneerU Ltd. is agreeable to providing services and materials to you on the terms and conditions set out in these terms of service.
IN CONSIDERATION OF the matters described above and below and of the mutual benefits and obligations set forth in these terms of service, the receipt and sufficiency of which in consideration is hereby acknowledged, you and PioneerU Ltd. (individually the “Party” and collectively the “Parties” to these Terms of Service) agree as follows:
1. Our Terms of Service do not contain any provision for automatic continuation of services absent mutual agreement, nor does it prohibit termination in the context of internal restructuring, system changes, or compliance alignment. PioneerU Ltd. reserves the right to terminate this site and any agreement with you at any given time.
Any interpretation suggesting that PioneerU Ltd. may be compelled to continue this site or an agreement with you indefinitely, or under outdated operational conditions, is unsupported.
2. Should you wish to be considered for future participation in programs or offerings, it is important to note that compliance with operational, legal, and settlement requirements is non-negotiable. If you are unwilling or unable to comply with the required procedures, you will not be eligible for future engagement with our Site or any of our Services.
3. The terms of service (the “Term”) will begin on the date of our Agreement and will remain in full force and effect indefinitely until terminated as provided in any Agreement with PioneerU Ltd.
4. In the event that either Party wishes to terminate an Agreement, that Party will be required to provide 30 days’ written notice to the other Party.
5. Any Agreement may be terminated at any time by mutual agreement of the Parties or by PioneerU Ltd.
6. Except as otherwise provided in this Agreement, the obligations of PioneerU Ltd. will end upon the termination of the Agreement.
Ownership
7. All materials on this Web site and those contained herein are PioneerU Ltd’s property. The only exceptions are copyrighted images and other materials owned by others, which are so indicated. These terms of service give you no ownership rights to any materials on this site.
Copyright Laws
8. This site and all materials on it are protected under Ireland copyright laws, which give creators of original works of authorship the exclusive right to use their works for a limited period. With certain exceptions, copyrighted materials may not be used or copied without the express written consent of the copyright holder PioneerU Ltd. Indemnification
18. Except to the extent paid in settlement from any applicable insurance policies, and to the extent permitted by applicable law, each Party agrees to indemnify and hold harmless the other Party, and its respective directors, shareholders, affiliates, officers, agents, employees, and permitted successors and assigns against any and all claims, losses, damages, liabilities, penalties, punitive damages, expenses, reasonable legal fees and costs of any kind or amount whatsoever, which result from or arise out of any act or omission of the indemnifying party, its respective directors, shareholders, affiliates, officers, agents, employees, and permitted successors and assigns that occurs in connection with this Agreement. This indemnification will survive the
termination of any Agreement with PioneerU Ltd.
Entire Terms of Service
19. It is agreed that there is no representation, warranty, collateral agreement or condition affecting these terms of service except as expressly provided in these terms.
Enurement
20. These terms of sevice will enure to the benefit of and be binding on the Parties and their respective heirs, executors, administrators and permitted successors and assigns.
Titles/Headings
21. Headings are inserted for the convenience of the Parties only and are not to be considered when interpreting these terms of service.
Gender
22. Words in the singular mean and include the plural and vice versa. Words in the masculine mean and include the feminine and vice versa.
Governing Law
23. This Agreement will be governed by and construed in accordance with the laws of the Republic of Ireland, Dublin.
